1. Our Services

Bulk Devices is an online supplier of computer and IT hardware, including storage devices, memory, motherboards, processors, power supplies, printers, servers and networking equipment. The Services let you browse our catalog, review product details, request quotes and purchase available inventory, whether for your own use or for resale. Information provided through the Services is intended for general commercial use. It is not prepared to satisfy the requirements of any industry-specific regulatory framework, such as the Health Insurance Portability and Accountability Act (HIPAA) or the Federal Information Security Modernization Act (FISMA). You are responsible for confirming that the products you buy meet your own legal, security and compliance obligations, and you agree not to use the Services in any way that would breach applicable law. If you access the Services from outside the United States, you do so on your own initiative and are solely responsible for complying with the laws of your location.

2. Intellectual Property Rights

2.1 Our Content and Marks. Bulk Devices owns or licenses the Services and everything in them, including the Site design, software, text, product listings, titles, descriptions, photographs, graphics and other content ("Content"), as well as our trademarks, service marks, brand names and logos ("Marks"). Content and Marks are protected by United States and international copyright, trademark and other intellectual property laws. Manufacturer brand names and logos belong to their respective owners, and Bulk Devices is not affiliated with them. 2.2 License to Use the Services. If you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and to view, print or download Content to which you have lawful access, solely for your personal use or internal business purposes. Any other use, including copying, republishing, selling or reusing our listings, titles, descriptions, images or prices, requires our prior written permission. Unauthorized use is a material breach of these Terms and may result in immediate loss of access. To request permission, contact [email protected]. 2.3 Your Submissions. If you send us questions, comments, suggestions or other feedback ("Submissions"), you agree that we may use them for any lawful purpose, including improving the Services, without compensation or credit to you. You confirm that your Submissions are your own and do not infringe the rights of anyone else.

3. User Representations

By using the Services, you represent and warrant that:

• All information you provide to us is true, accurate, current and complete, and you will keep it up

to date.

• You have the legal capacity to enter into these Terms and agree to comply with them.
• You are at least 18 years of age.
• You will not access the Services through bots, scripts or other automated means.
• You will not use the Services for any unlawful, deceptive or unauthorized purpose.
• Your use of the Services will not violate any applicable law or regulation.

If any information you provide proves to be untrue, inaccurate or incomplete, we may suspend or terminate your account, cancel your orders and refuse current or future access to the Services.

4. User Registration and Account Security

Some features of the Services, including order history, faster checkout and business credit accounts, may require you to register. You agree to keep your login details confidential and accept full responsibility for all activity under your account. Please notify us immediately at [email protected] if you suspect any unauthorized use of, or access to, your account. Bulk Devices is not liable for any loss or damage resulting from unauthorized use of your credentials. We may remove, reclaim or change any username that we reasonably consider inappropriate, misleading or objectionable.

5. Identity Verification

To protect you and us against unauthorized transactions, we may review and verify certain orders before accepting them. This may apply to high-value purchases, first-time customers, orders where billing and shipping details do not match, and orders flagged by our fraud-prevention or insurance partners. If verification is needed, we will contact you using the details on your order, which may include a call to confirm the order, a request for supporting information, or a request to pay by bank transfer. Please respond promptly, because we may hold an order until verification is complete. If we are unable to verify an order, or if we reasonably suspect fraud, we may cancel it, and any amount you have paid for the cancelled order will be refunded in full. Information you provide for verification is handled in line with our Privacy Policy. By placing an order, you agree that verification may be required as part of fulfillment.

6. Products and Availability

We make every reasonable effort to display product titles, descriptions, specifications, images, compatibility notes and prices accurately. Because our catalog is large and changes often, we cannot guarantee that every listing is complete, current or free of error, and screen displays may not match actual product colors or dimensions. If you need exact configuration details or have any question about compatibility, please contact our team before ordering. All products are subject to availability. Some items may be out of stock or on backorder, so please check stock details when ordering. If we cannot supply an item, we may cancel that part of your order and refund the amount you paid for it. We may also discontinue any product at any time. If a product or price is listed incorrectly because of a typing, technical or other error, we may correct the listing and refuse or cancel affected orders. Where you have already paid, we will refund the full amount. Product information is provided for general information only and does not mean we endorse any manufacturer, product or reseller.

7. Purchases and Payment

7.1 Order Acceptance. After you place an order, you will receive an order acknowledgement. This is a record of your request and is not a contract. A contract is formed only when we accept your order, which we do by shipping it or by confirming acceptance in writing. We may accept, refuse, limit or cancel any order for any reason, including product availability, pricing or description errors, credit review or suspected fraud. If we cancel an order you have already paid for, we will refund the full amount. 7.2 Prices. All prices are in US dollars. Prices may change without notice, but the price on your accepted order is the price you pay. 7.3 Taxes and Additional Charges. Prices do not include sales tax, duties, customs, clearance fees, forwarding charges, or shipping and handling. These are added at checkout or invoiced where they apply. International customers are responsible for all import duties, taxes, customs clearance and local delivery charges in their country. Texas sales tax applies to sales to Texas customers; Texas resellers must give us a valid resale certificate to avoid sales tax, and without one tax will be charged. 7.4 Payment Methods. We accept the following: Method How it works Credit or debit card American Express, Visa and Mastercard, online or by phone. Your card is charged on the day you order. Bank transfer Wire or bank transfer. International senders pay all transfer fees. We ship once payment has been received and cleared, and offline payments can take several days to process. Phone order Call (903) 677-4333. For high-value orders we may contact you to confirm details before authorizing payment. Business credit account Apply using our credit application. Credit limits are set at our discretion, and review can take up to one week. Approved accounts may receive net 30 terms within their limit. 7.5 Payment Due. You agree to provide current, complete and accurate billing and shipping information and authorize us to charge your selected payment method for the total amount, including taxes and shipping. Orders must be paid in full before we process or ship them, except for approved business credit accounts. We may delay processing or shipment until payment has been received and verified. 7.6 Conflicting Terms. Terms in your purchase order or other documents that conflict with these Terms do not apply unless we agree to them in writing. 7.7 Shipping and Delivery. Shipping methods, cut-off times and delivery estimates are described in our Shipping Policy. In summary:

• Most orders ship within 24 hours of placement, and orders placed before 1 PM Central Time are

usually processed the same business day.

• We do not process orders on weekends or holidays.
• Delivery times are estimates. Carrier guarantees, where offered, cover transit time only, not our

processing time.

• We cannot promise delivery times to Hawaii, Alaska, Puerto Rico, Canada, APO/FPO addresses or

other international locations.

• If you give no shipping instructions, we will choose the method we believe best suits your order.
• If delivery is delayed because of you, we may store the products at your risk and expense.
• If you ask us to ship to a third party, both you and the recipient agree to these Terms.

7.8 Shipping Charges. Shipping and handling charges are non-refundable except where our Shipping Policy says otherwise, for example when a defective item is replaced. If you return a non-defective item that qualified for free standard shipping, we deduct the original shipping cost from your refund. 7.9 Risk of Loss. Unless we state otherwise, shipments are FOB (free on board) our warehouse. Risk of loss or damage passes to you, or to your carrier, as soon as we hand the goods to the carrier. 7.10 Damaged, Late or Missing Deliveries.

1. Inspect your order on arrival. If the packaging or contents look damaged, note it with the carrier

and keep all packaging.

2. Because risk passes to you at shipment, claims for damage, delay or loss in transit are made with

the carrier.

3. Contact us within 30 business days so that we can help you with the claim.

4. Check all tracking numbers, since orders can ship in more than one package. If an item is still

missing, contact [email protected] or call (903) 677-4333.

5. Report any difference between your purchase order and the goods received within two days of

delivery. We are not responsible for carrier delays or damage during delivery, but we will help you through the claims process. 7.11 Cancelling or Changing an Order. Once we accept an order, you may not change or cancel it without our written consent. To request a change or cancellation, email customer service or sales during business hours. We do not accept cancellation requests by phone. If we agree to cancel, replace or change an order, a restocking fee of 25% to 35% of the order value applies. We may cancel an order if a product is unavailable, on backorder or listed with an error, in which case you will receive a full refund of the amount you paid.

8. Warranty Coverage

Products sold by Bulk Devices carry a 30-day warranty period. This warranty covers hardware defects. It does not extend to damage caused by misuse, improper installation, unauthorized modification or normal wear and tear. If an item is defective within the warranty period, we will replace it. Some products may also be covered by a separate manufacturer's warranty, where applicable. Manufacturer warranty terms vary by product and are provided by the manufacturer, not by Bulk Devices. Full warranty details, exclusions and claim steps are set out in our Warranty information, which forms part of these Terms. Warranty claims follow the RMA process described in Section 9.

9. Return Policy

Returns and exchanges follow our Warranty information and our RMA (Return Merchandise Authorization) process, which are incorporated into these Terms. Please review them before you buy. By completing a purchase, you acknowledge that you have read and agree to them.

• RMA number. You must obtain an RMA number before returning any item, for any reason.
• Return window. Returns must be made within 30 days after delivery.
• Condition. Return items complete, with all accessories, manuals, software and warranty

materials, in the original packaging.

• Restocking fee. A 35% restocking fee applies if the original packaging is damaged.
• Labeling. Write the RMA number clearly on the outer box. Do not write directly on the

manufacturer's original packaging.

• Replacements and refunds. After we receive and test the item, we will send your replacement

or refund. For defective-item exchanges, this is within 10 days of receipt.

• Defective items. We replace defective items.
• Items no longer in stock. If we no longer stock a replacement, we will send a comparable item or

refund the item's current market value. The refund will not exceed the price on your original invoice.

• Shipping. If you return a non-defective item that qualified for free standard shipping, we deduct

the original shipping cost from your refund.

10. Prohibited Activities

You may use the Services only for lawful purposes and in line with these Terms. Without our written permission, you agree not to:

• Copy, resell or republish the Services or their Content
• Systematically collect or reuse our product listings, titles, descriptions, images or prices
• Use bots, scrapers, crawlers, data-mining or other automated tools
• Try to gain unauthorized access to any account, system or network connected to the Services
• Bypass, disable or interfere with any security or access-control feature
• Upload or transmit viruses, malware or other harmful code
• Impersonate any person or misrepresent your identity or affiliation
• Post or send content that is unlawful, defamatory, abusive, threatening, discriminatory or

obscene

• Remove or alter any copyright, trademark or proprietary notice
• Decompile, reverse-engineer or disassemble any software used by the Services
• Buy or bid on our brand name, trademarks or related keywords to direct traffic to a competitor
• Use the Services for any unlawful, deceptive or harmful purpose

11. User-Generated Content and Reviews

Where the Services allow you to submit reviews or ratings, they must reflect your genuine, first-hand experience. You may not submit reviews that:

• Contain offensive, abusive, discriminatory or hateful language
• Are false, misleading or submitted under a false identity
• Are part of an organized effort to artificially raise or lower ratings
• Are submitted by a competitor of Bulk Devices or someone acting for one
• Disclose another person's private information

We may accept, reject or remove any review at our discretion. Reviews express the opinions of individual customers and not those of Bulk Devices. By submitting a review, you grant us a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify and display it in connection with the Services. Reviews collected through independent review platforms are governed by those platforms' own terms.

12. Third-Party Websites and Content

The Services may link to third-party websites, including manufacturers, review sites, blogs and partners ("Third-Party Sites"). These links are provided for convenience only. Bulk Devices does not control, monitor or endorse Third-Party Sites and is not responsible for their content, accuracy, products or privacy practices. Your use of a Third-Party Site is at your own risk, and these Terms no longer apply once you leave our Site. We are not a party to any transaction between you and a third party. To the extent the law allows, you release Bulk Devices from claims arising from your dealings with Third-Party Sites. Please read the terms and privacy policy of any site you visit. You may link to our Site if the link is accurate, is not misleading and does not suggest that we endorse you. You may not use our logos, or those of our partners, in a link without our written permission.

13. Privacy Policy and Data

We are committed to protecting your personal information. Our Privacy Policy explains how we collect, use, store and share your data, and it is incorporated into these Terms. By using the Services, you agree to the Privacy Policy. The Services are operated from the United States. If you access them from outside the United States, you acknowledge that your information will be transferred to and processed in the United States in line with applicable law. You are responsible for the accuracy of the data you submit through the Services.

14. Service Management and Termination

Bulk Devices may:

• Monitor the Services for violations of these Terms
• Take appropriate legal action, including reporting violations to law enforcement, against anyone

who breaches these Terms

• Restrict, suspend or end access to the Services for anyone who misuses them or breaks these

Terms

• Remove or disable content that violates these Terms or is otherwise objectionable
• Update, suspend or discontinue all or part of the Services from time to time

Orders we have already accepted remain governed by these Terms and our policies. Ending or limiting your access does not affect any other legal remedy available to us.

15. Disclaimers

THE SITE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, BULK DEVICES DISCLAIMS ALL WARRANTIES ABOUT THE SITE ITSELF, WHETHER EXPRESS, IMPLIED OR STATUTORY. WE DO NOT PROMISE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT EVERY LISTING IS COMPLETE, CURRENT OR ACCURATE. WE DO NOT ENDORSE OR TAKE RESPONSIBILITY FOR ANY PRODUCT OR SERVICE OFFERED BY A THIRD PARTY THROUGH THE SERVICES. CUSTOMER REVIEWS AND TESTIMONIALS REFLECT INDIVIDUAL EXPERIENCES AND MAY NOT BE REPRESENTATIVE. This section concerns the Site. Your rights to returns, replacements and warranty service on products are described in Sections 8 and 9. Some jurisdictions do not allow certain disclaimers, so this section applies only to the fullest extent permitted where you live.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER IS LIMITED TO THE PRICE YOU PAID TO US FOR THE PRODUCT IN QUESTION. THIS DOES NOT INCLUDE SHIPPING AND HANDLING CHARGES, WHICH REMAIN NON-REFUNDABLE. BULK DEVICES, ITS AFFILIATES, OFFICERS, EMPLOYEES AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSSES, INCLUDING LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES. Some jurisdictions do not allow certain limits, so parts of this section may not apply to you, and you may have additional rights. Nothing in these Terms limits any right you have under law that cannot be waived.

17. Indemnification

To the extent the law allows, you agree to defend and indemnify Bulk Devices, its affiliates, officers, employees and agents against claims, losses, liabilities and reasonable legal costs that arise from:

1. Your misuse of the Services

2. Your breach of these Terms

3. Your breach of any statement you make in Section 3

4. Your violation of any third party's rights, including intellectual property rights

We will tell you about any such claim as soon as reasonably practical. We may take control of the defense of a claim at your expense, and you agree to cooperate with us in doing so.

18. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law principles. Any dispute relating to these Terms or your orders will be handled in the appropriate courts in Texas unless we agree otherwise in writing. Each party is responsible for its own legal fees and costs unless the law requires otherwise.

19. Texas Users and Residents

20. Modifications to These Terms

We may update these Terms from time to time. Updates take effect when posted, with a new "Last updated" date, and where practical we will notify registered customers by email of material changes. It is your responsibility to review these Terms periodically. Continuing to use the Services or place orders after an update means you accept it. Orders we have already accepted are governed by the Terms in effect when we accepted them.

21. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, Shipping Policy and Warranty information, are the whole agreement between you and Bulk Devices about the Services and your orders, and replace any earlier understandings. No waiver. If we do not enforce a right or provision right away, we have not given it up. Severability. If any part of these Terms is found unlawful or unenforceable, that part is removed and the rest stays in effect. Relationship. These Terms do not create a partnership, joint venture, employment or agency relationship between you and Bulk Devices. Assignment. We may assign our rights and obligations under these Terms. You may not assign yours without our written approval. Events beyond our control. We are not liable for any delay or failure to perform caused by events outside our reasonable control, including natural disasters, labor disputes, carrier disruption, war, terrorism or government actions.
